Important investment risk disclaimer
Alphaby.ai is a software tool for designing and exploring quantitative trading strategies. It is not a broker, investment adviser, fiduciary, or financial planner, and nothing on the Site or in the platform constitutes investment, tax, legal, or other professional advice or a recommendation, solicitation, or offer to buy or sell any security, derivative, cryptocurrency, or other financial instrument.
All trading and investment decisions are made solely by you and at your own risk. Trading financial instruments involves substantial risk of loss, including loss of your entire capital, and is not suitable for every investor. Past performance, backtests, simulations, and hypothetical results do not guarantee future performance. You are solely responsible for evaluating the merits and risks of any strategy you build, deploy, or act upon, and Alphaby.ai accepts no responsibility or liability for any investment, trading, or financial decision you make or for any losses you incur.
1. Acceptance of these terms
These Terms & Conditions (the "Terms") govern your access to and use of the website at alphaby.ai (the "Site") and any related services, products, features, or content provided by Alphaby.ai ("Alphaby", "we", "us", or "our") (collectively, the "Service"). By accessing the Site, registering for early access, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and able to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that your use of the Service does not violate any applicable law or regulation in your jurisdiction.
3. Early access registration
The Site is currently a coming-soon page. By signing in with Google, you register your interest in receiving early access to the platform when it launches. Registration does not guarantee access, pricing, or any specific feature, and we may change, delay, or cancel the planned launch at any time in our sole discretion.
4. Nature of the Service
When launched, Alphaby.ai is intended to be a software platform that helps users design, test, and explore quantitative trading strategies, including with the assistance of AI features. The Service provides tools and information only. It does not execute trades on regulated markets on your behalf as a broker, and we do not manage any assets, accounts, or portfolios for you.
Any data, signals, backtests, simulations, suggestions, outputs, AI-generated content, charts, or strategies made available through the Service are provided for informational and educational purposes only. They do not constitute investment, financial, tax, legal, or other professional advice and must not be relied upon as such.
5. No investment advice; your decisions, your responsibility
Alphaby.ai does not provide personalized investment advice and is not your investment adviser, broker, or fiduciary. Nothing on the Site or in the Service should be interpreted as a recommendation, solicitation, or offer to buy, sell, hold, or trade any security, derivative, cryptocurrency, commodity, currency, or other financial instrument, nor as an endorsement of any specific strategy, asset, broker, or third party.
All investment and trading decisions are made by you, in your sole discretion, based on your own analysis of your financial situation, objectives, risk tolerance, and the applicable laws and regulations in your jurisdiction. You are solely responsible for verifying any information, output, or strategy generated by the Service before acting on it, and for the consequences of any action you take.
You should consult an independent, qualified financial, legal, and tax adviser licensed in your jurisdiction before making any investment decision based on or related to the Service.
6. Risk warning
Trading and investing in financial instruments — including equities, futures, options, forex, derivatives, and cryptocurrencies — involves a high level of risk and may not be suitable for all investors. Leverage and complex products can amplify losses. You may lose some or all of your invested capital, and in some markets you may lose more than the amount initially invested.
Backtests, simulations, paper-trading results, and hypothetical or model performance are inherently limited (for example, by hindsight bias, look-ahead bias, modeling assumptions, data quality, and the absence of real-world execution costs and slippage) and do not guarantee future results. Past performance is not indicative of future performance.
7. No reliance; accuracy of information
We use commercially reasonable efforts to provide accurate and timely information through the Service, but we do not warrant that any data, content, AI output, calculation, or strategy is accurate, complete, current, error-free, or fit for any particular purpose. Market data may be delayed, incomplete, or sourced from third parties whose accuracy we do not control. You must not rely on the Service as your sole source of information for any financial decision.
8. Acceptable use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right, including securities, financial-services, or anti-money-laundering laws;
- Attempt to access accounts, data, or systems you are not authorized to access, or interfere with the integrity, security, or availability of the Service;
- Reverse engineer, scrape, or otherwise extract data from the Service except as expressly permitted;
- Provide investment advice or financial services to others using the Service in any jurisdiction where you are not licensed to do so;
- Use the Service to engage in market manipulation, insider trading, fraud, or any other unlawful conduct.
9. Accounts and security
You are responsible for maintaining the confidentiality of the Google account you use to sign in and for all activity that occurs under your account. You must notify us promptly at privacy@alphaby.ai of any unauthorized use or suspected security incident.
10. Intellectual property
The Service, including the Site, software, designs, text, graphics, logos, and trademarks, is owned by Alphaby or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written consent.
11. Third-party services
The Service relies on third-party providers (including, for example, Google for authentication and Lovable Cloud / Supabase for hosting and data storage), and may link to or integrate with other third-party services. We are not responsible for the content, policies, availability, or practices of any third party, and your use of any third-party service is governed by that party's own terms and policies.
12. Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
To the maximum extent permitted by law, Alphaby disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, profitability, and uninterrupted or error-free operation. We do not warrant that any strategy, signal, output, or recommendation generated by the Service will be profitable or appropriate for you.
13. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Alphaby, its affiliates, officers, employees, agents, or licensors be liable to you for any trading or investment losses, lost profits, lost revenue, lost opportunity, lost data, or any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, the Service, any decision you make based on the Service, or any reliance you place on any content, output, data, AI suggestion, signal, backtest, or strategy made available through the Service, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you have paid to Alphaby for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, and (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the smallest extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Alphaby and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your use of the Service, (b) your violation of these Terms or any applicable law, or (c) any investment, trading, or financial decision you make in connection with the Service.
15. Suspension and termination
We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, including if we reasonably believe you have violated these Terms or that your use poses a risk to us, other users, or third parties. You may stop using the Service at any time. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.
16. Changes to the Service or these Terms
We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through the Service. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
17. Governing law and disputes
These Terms and any dispute arising out of or relating to them or the Service will be governed by the laws of the jurisdiction in which Alphaby is established, without regard to its conflict-of-laws rules. Where required by applicable consumer-protection law, you retain the protections of the mandatory rules of the country in which you reside. The competent courts of Alphaby's place of establishment will have exclusive jurisdiction, subject to any non-waivable rights you have as a consumer.
